- Principle of handling fractional shares and unsubscribed shares:
+ The Board of Directors will collect all fractional shares and remaining shares due to shareholders' refusal to exercise their rights, not paying money or not fully exercising their rights (if any), determine criteria, list and offer those shares to other shareholders and investors on the selected list at a price of VND 10,000/share and the conditions of offering, conditions on rights and obligations of other investors not more favorable than that offered to existing shareholders.
+ In case the deadline for distributing shares expires according to the provisions of prevailing laws (including the extended period, if any), if there are still undistributed shares, these undistributed shares will be canceled and the Board of Directors will decide to end the offering.
+ The fractional shares, shares that shareholders do not exercise their rights or do not fully exercise their rights (if any) distributed to other parties will be restricted from transfer within 1 year from the date of closing the offering.
For example: On the record date, shareholder Nguyen Van A owns 1,234 shares. Shareholder A will be able to buy the corresponding number of additional issued shares: 1,234*10% = 123.4 shares. According to the rounding principle, shareholder A is entitled to buy 123 shares.
- Regulations on rights transfer:Existing shareholders whose names are on the list on the record date have the right to transfer their rights to others within the prescribed period and can only transfer 1 time. The transferee is not allowed to transfer them to a third party.
+ Time for transfer of right issue: From 13/01/2025 to 10/02/2025.
+ The right to purchase can only be transferred 1 (one) time
- Regulations on purchased securities:
+ Time for subscription and payment: From 13/01/2025 to 17/02/2025.
+ Purchased securities are freely transferable.
- Place for implementation:
+ The holders whose shares have been deposited have to make transfer of purchase right, subscription and payment at the depository members (DMs) where they opened depository accounts.
+ The holders whose shares have not been deposited will make right transfer, subscription at Truong Son Investment And Construction Joint Stock Company, Chau Son industrial zone, Chau Son ward, Phu Ly city, Ha Nam province.

Depository members (DMs) are requested to compare the securities holders’ information in the List generated and sent in the form of Certificate of Authorization by VSDC with the information managed by DMs then send Confirmation (Form 03/THQ) in the form of Certificate of Authorization on the accuracy of the list of shareholders (For DMs who have not completed the connection to VSDC’s terminal-based gateway/ISO-based gateway or where the connection has been disrupted, the Confirmation with Certificate of Authorization shall be sent to thongbaoxacnhan@vsd.vn). In case of rejection due to data errors, DMs are requested to send written notice on details of errors for necessary correction.
Deadline for sending confirmation: by 10.30 am, 07/01/2025
If DMs do not send confirmation document by the above deadline, VSDC will consider the list provided to DMs by VSDC tobe accurate and confirmed. In case of arising disputes and losses to shareholders, DMs will have to bear all the related responsibilities.
DMs are requested to fully inform this notice to each investor who has deposited the above shares at DMs within 03 working days from the date on the notice.
